3.3 Buyer’s and Tenant’s Due Diligence: Buyers, tenants, and lessees are responsible for conducting due diligence, including but not limited to, zoning, permitting, environmental assessments, and financial underwriting. SBO does not verify the accuracy of listings or property conditions and assumes no liability for incomplete or inaccurate information provided by Sellers.
3.4 Prohibited Uses: Users may not post inaccurate, misleading, defamatory, or illegal content, including content that promotes discrimination or violates applicable laws. SBO reserves the right to remove any such content and suspend or terminate User access to the Website.

5.1 Seller’s and Landlord’s Indemnification: Sellers and Landlord’s agree to indemnify, defend, and hold harmless SBO, its affiliates, officers, directors, employees, agents, and successors from any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:
– The sale, rental, or attempted sale/rental of a Property, including but not limited to any claims for non-disclosure, misrepresentation, or violation of fair housing laws.
– Any inaccuracy or incompleteness of information provided by the Seller in connection with the Property.
– Any breach of this Agreement or violation of applicable law by the Seller.
5.2 Buyer’s and Tenant’s Indemnification: Buyers, tenants, and lessees agree to indemnify and hold harmless SBO, its affiliates, officers, directors, employees, agents, and successors from any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:
– Any disputes arising from the purchase, lease, or attempted purchase/lease of a Property.
– Any breach of this Agreement or violation of applicable law by the Buyer or Tenant.
– Any harm or injury occurring on the Property during any open house, viewing, or inspection.
5.3 General Indemnification: Users agree to indemnify and hold SBO harmless from any claims, demands, liabilities, or expenses arising out of:
– Violations of these Terms or any applicable laws.
– The use or misuse of the Website, including any content or services.
– Third-party claims related to content submitted by Users.
To the maximum extent permitted by law, SBO, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to the use or inability to use the Website or Services, even if SBO has been advised of the possibility of such damages.
SBO assumes no responsibility for any loss of profit, property, or business opportunity resulting from the use of the Website. SBO SHALL NOT BE LIABLE FOR THE FAILURE TO COMPLETE THE SALE OR RENTAL OF ANY PROPERTY listed on the Website.

13.1 Arbitration: Any dispute arising out of or relating to these Terms or the use of the Website or Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Miami, Florida, and the language of arbitration shall be English.
13.2 Governing Law: These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles. Any court proceedings related to the enforcement of arbitration awards shall be filed in the state or federal courts located in Miami, Florida.
SBO reserves the right to amend these Terms at any time. Amendments will be effective upon posting on the Website. Users should review the Terms periodically to stay informed of any changes. The failure of SBO to enforce any provision of these Terms shall not be deemed a waiver of such provision.
These Terms constitute the entire agreement between the parties with respect to the use of the Website and supersede all prior agreements and understandings, whether written or oral.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
